ABOUT THIS ROLE
The Secretary is VLL's official records and legal compliance officer. You are the keeper of the institutional memory — ensuring that what the board decides gets accurately recorded, that the organization stays in compliance, and that the documents and systems are in place for VLL to operate with integrity. This role works in close coordination with the Executive Director on meeting logistics.
WHAT YOU'LL DO
Record accurate, official minutes of all board meetings
Ensure bylaws are followed and kept current; flag needed updates to the board
Manage and maintain all official board documents
Handle official board correspondence and legal notices
Track board member terms, elections, and renewals
Maintain the Conflict of Interest disclosure file and compliance calendar
Support new board member onboarding and orientation
WHO WE'RE LOOKING FOR
Highly organized with strong written communication skills
Experience with governance and/or documentation
Discreet, confidential, and reliable by nature
Comfortable with digital tools and document management systems
Has lived and worked in New Hanover County for at least 5-10 years
